The concept dates back to 2013, when Mastercoin conducted what’s widely cited as the first ICO. Ethereum’s 2014 token sale brought mainstream attention to the model: the project raised approximately $18 million over 42 days, distributing 50 million ether to early buyers. That success set the template for hundreds of projects that followed.

ICO activity expanded rapidly from 2016 through 2018. During that stretch, some raises grew enormous. The EOS platform ICO, for example, collected roughly $4 billion during a yearlong sale ending in 2018. The boom didn’t last. Regulatory enforcement actions and a broad crypto market contraction cooled the ICO wave after 2018, pushing many teams toward alternative fundraising structures.

How does an ICO work?

The process follows a fairly standard sequence, though details vary from project to project.

  • The project team defines the token structure. Three common models exist. A static supply with a static price means each token has a preset cost and the total number of tokens is fixed. A static supply with a dynamic price fixes the total token count but lets the final per-token price depend on total funds received. A dynamic supply with a static price keeps the token price the same while the amount of funding received determines how many tokens are created.
  • The team publishes a white paper. This document describes the project’s purpose, its funding goal, how tokens will be allocated (including what share founders keep), which payment methods are accepted, and how long the campaign will run.
  • A dedicated website and social media channels promote the sale. Marketing targets potential supporters, builds a community, and drives traffic to the purchase page.
  • Investors send funds and receive tokens. Buyers transfer fiat, Bitcoin, Ethereum, or another accepted cryptocurrency to the project and get newly minted tokens in return.
  • The outcome depends on whether the funding target is met. If total funds raised fall below the stated minimum, proceeds may be returned to participants and the ICO is considered unsuccessful. If the goal is reached within the set period, the collected capital goes toward building or completing the project.

The role of the white paper

The white paper functions as the project’s pitchbook. It’s released on a dedicated website before or during the ICO, and it’s the single document where the team lays out what they’re building and why the tokens exist.

A white paper typically covers the problem the project aims to solve, the technical architecture behind the solution, how much funding is needed, the token distribution schedule (what percentage goes to founders, what goes to sale participants, what’s reserved for development), and the campaign timeline. It’s not a regulated filing, so there’s no standard format or mandatory disclosure, which means quality varies wildly.

Trustworthy ICOs tend to have a long development background visible on platforms like GitHub, named and verifiable contributors with real track records in blockchain or software development, and an active community engaging with the project’s progress. Vague or incomplete white papers that avoid naming team members, skip technical specifics, or set no clear goals are a common red flag for fraud. If a white paper reads more like a marketing brochure than a technical plan, that’s a reason to step back.

ICO tokens and how they are used

Tokens sold during an ICO are designed for use within the project’s specific platform or network. The two broadest categories are utility tokens and asset-backed tokens. Utility tokens grant access to a product or service the project plans to build. Asset-backed tokens derive their value from an underlying asset, whether that’s a commodity, a piece of real estate, or another financial instrument.

During the ICO itself, tokens sell at a set price. Ethereum’s 2014 sale, for instance, distributed ether tokens at $0.311 each. After the ICO closes, though, the pricing model changes entirely. Tokens typically list on third-party exchanges, where they trade through open-market bidding similar to stocks on an exchange. The price a token fetches on the secondary market has nothing to do with the ICO price; it’s driven by supply, demand, trader sentiment, and whether the project has made progress on its roadmap.

Some participants buy tokens because they actually plan to use the future service the project is building. Others buy purely to speculate, betting the token’s market value will climb after listing. The biggest practical difference for buyers is protection. IPO investors operate within a well-defined legal framework that enforces disclosure, punishes fraud, and gives shareholders standing to sue. ICO participants, in most cases, hold tokens with no equity rights and far fewer legal avenues if a project collapses or turns out to be a scam.

In the United States, the SEC uses the Howey Test to determine whether an ICO constitutes an investment contract. The test asks whether there’s an investment of money in a common enterprise with an expectation of profits derived from the efforts of others. If a token sale checks those boxes, the tokens are securities and must be registered with the SEC or qualify for an exemption. One commonly referenced exemption is Rule 504 of Regulation D, which allows up to $10 million in securities sales within 12 months after filing Form D. China took a harder line. On September 4, 2017, seven Chinese financial regulators banned all domestic ICOs and ordered projects to refund investors. South Korea also prohibited ICOs in 2017, with reports of a possible lifting in 2026.

In the European Union, the Markets in Crypto-Assets (MiCA) regulation passed in 2023 and became applicable from June 2024. MiCA creates a unified framework for crypto-asset offerings across all EU member states, requiring issuers to publish a white paper that meets specific content and disclosure standards.   • Most ICOs don’t survive long. Fewer than half of all ICOs survive four months after the offering. That means a majority of projects either fail to deliver on their roadmap, run out of money, or were never serious to begin with. When a development team fails to complete the promised service, investors typically lose their entire contribution with no way to recover it.
  • Fraud is common and hard to detect. Fake ICOs can mimic legitimate ones with fabricated registration documents, forged approval letters, and convincing communications. The Munchee Inc. case in December 2017 marked the SEC’s first ICO enforcement action, treating what the company called a utility-token sale as an unregistered securities offering. Block.one, which raised roughly $4 billion through the EOS ICO, agreed to a $24 million penalty for its unregistered offering.
  • Limited legal recourse exists for investors. The lack of regulation means that if a project fails or vanishes, you have few options. The cross-border nature of token sales makes enforcement and fund recovery difficult even for regulators with resources.

How to spot a legitimate ICO and avoid scams

Since regulation is limited and evolving, the burden of confirming a project’s legitimacy falls on you. Here’s what to check.

  • Verify the team. The people behind the project should be real, named, and have verifiable experience in blockchain, crypto, or a relevant technical field. Anonymous teams or teams with no traceable professional history are a warning sign. Search LinkedIn profiles, GitHub accounts, and previous project involvement.
  • Read the white paper carefully. Look for clear, specific goals and a defined technical roadmap. Vague language, buzzword-heavy descriptions with no specifics, and unrealistic promises (guaranteed returns, no risk) signal that the project may not be serious or may be outright fraudulent.
  • Confirm that funds are stored in an escrow wallet. A legitimate ICO should use an escrow wallet that requires multiple access keys to release funds. This multisignature setup means no single person can drain the wallet. It reduces the risk of theft by a bad actor within the team and protects contributors if the project needs to issue refunds.
  • Check registered crypto exchanges. If a token is newly listed on a reputable exchange, that exchange has likely done some vetting before adding it. Exchanges have reputational and legal incentives to avoid listing outright scams, though passing an exchange’s review isn’t a guarantee of quality.
  • Cross-reference project claims. Cryptocurrency aggregator sites and ICO calendar platforms let you compare a project’s claims with community discussion, developer activity on GitHub, and independent analysis. If a project says it has an active development team but its code repository hasn’t been updated in months, that’s a disconnect worth investigating.
  • Review the terms and conditions. Read the fine print for refund policies, token lock-up periods, and any clauses that limit your rights as a participant.

Notable ICO success stories

Not every ICO collapsed or turned out to be a scam. A handful of early token sales funded projects that became foundational pieces of the crypto industry.

Ethereum is the most-cited example. Its 2014 ICO distributed 50 million ether at $0.311 each, raising the capital that funded a platform now responsible for a broad network of decentralized applications, smart contracts and token launches, and further innovation. The sheer scale of what Ethereum enabled makes it the reference point for every ICO conversation.

The EOS ICO set a record with its roughly $4 billion raise during a yearlong sale, funding development of a competing smart-contract blockchain. Tezos raised $232 million in a single-month sale in July 2017, and Polkadot raised $145 million in October 2017 to build a multi-chain interoperability protocol.

Telegram’s raise stands out as a cautionary counterexample. It was one of the largest ICOs ever at $1.7 billion, but SEC enforcement blocked the network from launching publicly, and the funds were returned. A massive raise doesn’t automatically mean a project will reach its goal.

After the 2017-2018 ICO boom faded, two alternative fundraising models gained traction as market participants looked for ways to operate within established regulatory frameworks.

An IEO (initial exchange offering) runs the token sale directly through a digital-asset exchange. The exchange vets the project before listing the sale, which adds a layer of due diligence that a standalone ICO doesn’t have. For buyers, that means someone with reputation and resources on the line has reviewed the project’s basics before you’re asked to send money. The trade-off is that IEO access depends on the exchange’s standards, and those standards aren’t uniform. A smaller exchange with lax review processes doesn’t offer the same screening as a major one.

An STO (security token offering) explicitly structures the token as a regulated security. That means the offering is subject to securities law, and investors receive legal protections similar to those in traditional securities markets, including disclosure requirements and, in some cases, rights tied to the underlying asset. STOs emerged specifically because the unregulated nature of ICOs drew enforcement actions and eroded investor trust.

ICOs remain the most accessible model with the fewest gatekeepers. Anyone can launch one, and anyone can participate. IEOs and STOs trade some of that openness for regulatory compliance and investor confidence. ICOs opened blockchain fundraising to global retail investors, giving anyone with a wallet the ability to back a project from its earliest stage. That access comes with risks proportional to the lack of regulation. Projects can fail, disappear, or turn out to be fraudulent, and investors in most cases have no recourse comparable to what traditional securities law provides.

Thorough research remains the best defense against fraud. Reviewing the white paper, verifying the team, checking escrow wallets, and looking at any regulatory filings the project has made don’t eliminate risk, but they filter out the most obvious scams. Regulations continue evolving across jurisdictions, with most authorities choosing to apply existing securities law to token offerings rather than drafting entirely new frameworks.

Post-ICO token value depends on project execution, market demand, and broader crypto-market cycles rather than the fundraising event alone. A successful ICO raises money; whether that money turns into a working product that sustains token demand is a separate question entirely.
